Terms of Service

By creating an account or using Kiraya Setu ("Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, please do not use our Service. These Terms constitute a legally binding agreement between you and Kiraya Setu Technologies Pvt. Ltd. ("Company", "we", "us", or "our"). We reserve the right to modify these Terms at any time. We will notify you of material changes via email or a prominent notice on our platform. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

To use Kiraya Setu, you must be at least 18 years of age and have the legal capacity to enter into a binding contract under Indian law. By using our Service, you represent and warrant that you meet these requirements. When registering an account, you must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@kirayasetu.com if you suspect any unauthorised access to your account. You may not create an account on behalf of another person or entity without their express written consent. Corporate accounts must be registered by an authorised representative of the business.

Kiraya Setu provides a Software-as-a-Service (SaaS) platform designed to help independent landlords and property managers in India manage their rental properties. The Service includes, but is not limited to: • Tenant management and KYC document storage • Automated rent collection tracking and payment reminders • AI-powered lease agreement generation • Maintenance request tracking • GST and financial reporting tools • Multi-property and multi-unit management We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, though we will make reasonable efforts to notify you of significant changes that affect your use of the Service.

Kiraya Setu offers both free and paid subscription plans. Paid subscriptions are billed in advance on a monthly or annual basis as selected during sign-up. Free Plan: Our free plan is provided at no cost and includes limited features as described on our Pricing page. We reserve the right to change the features included in the free plan with 30 days' notice. Paid Plans: Subscription fees are non-refundable except as required by applicable law or as expressly stated in these Terms. If you cancel your paid subscription, you will retain access to paid features until the end of your current billing period. Price Changes: We may change our subscription fees with 30 days' advance notice. If you do not agree to a price change, you may cancel your subscription before the new price takes effect. Taxes: All prices are exclusive of applicable taxes, including GST. You are responsible for paying all applicable taxes on your subscription.

As a landlord using Kiraya Setu, you may upload and process personal information about your tenants, including KYC documents, contact details, and financial records. By doing so, you agree to: • Obtain all necessary consents from your tenants before uploading their personal information to our platform • Use tenant data only for legitimate property management purposes • Comply with all applicable privacy laws, including the Information Technology Act 2000 and the Digital Personal Data Protection Act 2023 • Not use tenant data for any unlawful purpose You act as the "Data Principal" for your tenants' personal information, and Kiraya Setu acts as a "Data Processor" processing data on your behalf. Our processing of tenant data is governed by our Privacy Policy and Data Processing Agreement.

You agree to use Kiraya Setu only for lawful purposes and in accordance with these Terms. You agree NOT to: • Use the Service to harass, threaten, or discriminate against any person based on caste, religion, gender, or any other protected characteristic • Upload false, fraudulent, or misleading information about properties, tenants, or financial records • Attempt to gain unauthorised access to any part of our platform or other users' accounts • Use automated tools to scrape, crawl, or extract data from our platform without our written permission • Attempt to reverse-engineer, decompile, or disassemble any part of our software • Engage in any activity that interferes with or disrupts the Service or its underlying infrastructure • Use the Service to facilitate illegal evictions, discrimination in housing, or any other violation of applicable law Violation of these terms may result in immediate termination of your account.

Kiraya Setu and its licensors retain all intellectual property rights in and to the Service, including software, algorithms, designs, branding, and content. Nothing in these Terms grants you any right, title, or interest in the Service or our intellectual property other than the limited right to use the Service as described herein. Your Data: You retain all rights to the data you upload to Kiraya Setu, including property, tenant, and financial records. By uploading data, you grant us a limited license to process and store your data solely for the purpose of providing the Service to you. Feedback: If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KIRAYA SETU AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE ARE NOT RESPONSIBLE FOR ANY TECHNICAL ISSUES, DATA LOSS, OR INTERRUPTIONS IN SERVICE CAUSED BY THIRD-PARTY PROVIDERS OR FACTORS OUTSIDE OUR REASONABLE CONTROL. THE LEASE AGREEMENTS AND LEGAL DOCUMENTS GENERATED BY OUR AI TOOLS ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE LEGAL ADVICE. WE RECOMMEND CONSULTING A QUALIFIED LEGAL PROFESSIONAL FOR COMPLEX TENANCY MATTERS.

You agree to indemnify, defend, and hold harmless Kiraya Setu, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or legal fees arising out of or relating to: • Your violation of these Terms • Your use of the Service • Your violation of any third party's rights, including your tenants' privacy rights • Your failure to comply with applicable laws and regulations • Any content or data you upload to the platform

You may terminate your account at any time by contacting us at support@kirayasetu.com or through your account settings. Upon termination, your right to use the Service will immediately cease. We may terminate or suspend your account immediately, without prior notice or liability, if you breach any provision of these Terms. We may also terminate your account if you fail to pay subscription fees, if we discontinue the Service, or for other legitimate business reasons. Upon termination, we will provide you with an export of your data in a standard format within 30 days. After 90 days, we will delete your data from our systems unless we are required by law to retain it longer.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India. Before initiating legal proceedings, we encourage you to contact us at legal@kirayasetu.com to attempt to resolve any disputes informally. Both parties agree to make good-faith efforts to resolve disputes amicably before escalating to legal action.
